These Terms and Conditions of Sale ("Terms") govern the sale of products and services offered under the brand Stone Atelier by SKL, owned and operated by STONE ART BY SKL LLP, a limited liability partnership registered in Jaipur, Rajasthan, India ("Stone Atelier", "we", "us" or "our").
By placing an order, approving a quotation, making an advance payment or otherwise confirming an order with us, the customer ("Buyer" or "you") agrees to these Terms.
Any specific terms contained in an accepted quotation, proforma invoice, purchase order acknowledgement or written agreement issued or accepted by Stone Atelier shall prevail over these Terms to the extent of any inconsistency.
1. Our Products
Stone Atelier specialises in natural stone products, including bespoke and made-to-order pieces manufactured from materials such as marble, limestone, sandstone, travertine, granite, onyx and other natural stones.
Our products may involve machine processing, CNC carving, hand carving, hand finishing, polishing and other artisanal processes.
Because of the natural and handcrafted nature of our products, every piece is unique. No two pieces of natural stone can be expected to be identical.
2. Natural Characteristics of Stone
Natural stone is a geological material and inherently varies from block to block and even within different portions of the same block.
- Colour, shade and tone
- Veining and movement
- Grain and texture
- Mineral deposits and inclusions
- Pores and cavities
- Fissures and micro-cracks
- Fossils or natural markings
- Patches, crystallisation and tonal variations
- Differences in surface texture, polish and finish
- Variations resulting from cutting, carving and hand finishing
Such characteristics are inherent to natural stone and shall not, by themselves, be considered defects or non-conformities.
Samples, photographs, renders, videos, website images and previously manufactured pieces are intended as references only. Perfect correspondence with such references cannot be guaranteed.
Bookmatching, vein continuity, colour matching or specific stone selection is not guaranteed unless expressly confirmed by Stone Atelier in writing.
3. Bespoke & Made-to-Order Products
A substantial portion of Stone Atelier products are manufactured specifically for individual projects.
Dimensions, designs, carvings, finishes, stone selections and other specifications shall be based on the final quotation, approved drawings and/or written specifications agreed for the relevant order.
Reasonable dimensional, tonal, carving and finishing tolerances inherent to natural stone and handcrafted manufacturing shall be acceptable.
Where exact dimensions or tolerances are critical for installation, structural coordination or another technical purpose, the Buyer must notify Stone Atelier in writing before production begins.
4. Drawings, Designs & Approvals
Production may be based on drawings, shop drawings, renders, models, dimensions or specifications supplied or approved by the Buyer.
The Buyer is responsible for verifying all dimensions, site conditions, quantities, interfaces and technical information supplied to Stone Atelier.
Where the Buyer supplies a design, drawing or other intellectual property, the Buyer confirms that it has the necessary rights and permissions for Stone Atelier to manufacture the product.
Stone Atelier shall not be liable for errors arising from incorrect or incomplete information supplied or approved by the Buyer.
Any modification requested after approval or commencement of production may result in additional charges and revised timelines.
5. Quotations & Orders
Quotations are valid only for the period stated in the quotation.
An order becomes binding upon Stone Atelier's acceptance of the order and receipt of the applicable advance payment and required approvals.
Production timelines commence only after Stone Atelier has received, where applicable, the required advance payment, final dimensions and specifications, approved drawings/shop drawings, and all information reasonably required to commence manufacturing.
Once production or material procurement has commenced, bespoke orders cannot ordinarily be cancelled, changed, returned or refunded.
6. Prices & Payment
Prices, taxes, delivery terms and payment milestones shall be as stated in the applicable quotation or invoice.
Unless expressly included in writing, prices exclude freight, insurance, customs duties, import taxes, installation, unloading, storage, site handling and other third-party charges.
Stone Atelier may suspend production, dispatch, delivery or other services where any payment is overdue.
All goods shall remain the property of Stone Atelier until the full amount due for the relevant goods has been received, to the extent permitted by applicable law.
Advance payments for bespoke products may be non-refundable once material procurement, design development or production has commenced.
7. Production & Delivery
Production and delivery periods are estimates unless Stone Atelier expressly confirms a date as contractually binding in writing.
Natural stone sourcing, artisanal production, technical complexity, approvals, logistics and international transportation can affect timelines.
Stone Atelier shall not be responsible for delays caused by circumstances reasonably outside its control, including delays relating to quarries, raw-material availability, suppliers, shipping lines, freight forwarders, customs authorities, strikes, natural disasters, governmental restrictions, war, civil disturbance, epidemics, supply-chain disruption or other force majeure events.
Any agreed timeline shall be reasonably extended to account for such circumstances.
8. Storage
The Buyer must arrange collection, shipment or delivery within the period communicated by Stone Atelier after completion of the goods.
Where completed goods cannot be dispatched or collected because of the Buyer, Stone Atelier may charge reasonable storage, handling and/or re-packing costs.
Risk arising from prolonged storage requested or caused by the Buyer shall be borne by the Buyer to the extent permitted by law.
9. Pre-Dispatch Inspection & Approval
Where practical, Stone Atelier may provide photographs and/or videos of completed products before packing and dispatch.
The Buyer must review such material promptly and communicate any visible concerns before approving dispatch.
Approval by email, WhatsApp or another agreed electronic communication method shall constitute approval of the visible design, finish, workmanship and natural characteristics shown.
Once the Buyer has approved the product for packing and dispatch, claims concerning visible aesthetic characteristics that were reasonably identifiable from the inspection material may not subsequently be raised, subject always to rights that cannot legally be excluded.
10. Packaging, Transport & Installation
Natural stone is heavy and fragile and requires appropriate professional handling.
Unless expressly included in Stone Atelier's quotation, transportation, unloading, lifting, installation and site handling are outside Stone Atelier's scope.
Stone Atelier shall be responsible for delivering the material to the agreed delivery address only, as specified in the quotation or order confirmation.
However, any internal site movement, mobilisation of materials within the project site, MEP coordination works, installation activities, or requirement of cranes, hoists, scaffolding, lifting equipment or any other handling systems shall not be under Stone Atelier's scope or responsibility.
Where transportation is arranged through third-party logistics providers, liability for transit damage shall be determined according to the agreed delivery terms, applicable insurance and the responsibility of the relevant carrier.
The Buyer must inspect packaging and goods promptly upon receipt and record any visible transit damage with the carrier.
Stone Atelier shall not be responsible for damage caused by incorrect unloading, storage, lifting, handling, installation, fixing, maintenance or use by the Buyer, contractor or any third party.
11. Installation & Site Conditions
Natural stone products must be installed by suitably experienced professionals using installation systems appropriate for the stone, product, substrate and site conditions.
The Buyer and/or its appointed consultant or contractor remains responsible for determining the suitability of the substrate, fixing system, structural support, waterproofing and other site-specific requirements unless Stone Atelier has expressly undertaken such responsibility in writing.
Cutting, drilling, modification or installation of a product after delivery shall constitute acceptance of its visible condition before such work commenced.
12. Claims
The Buyer must inspect the goods promptly upon delivery.
Any claim relating to visible damage, incorrect quantity or apparent manufacturing defect should be notified to Stone Atelier in writing as soon as reasonably possible and, for B2B transactions, preferably within 7 days of delivery.
The notification should include the order reference, description of the issue and clear photographs/videos.
A disputed product should not be installed, altered, cut or repaired without Stone Atelier's written approval.
Stone Atelier shall have a reasonable opportunity to inspect and assess any alleged manufacturing defect.
13. Warranty
Stone Atelier warrants its products against proven manufacturing defects, subject to the specific warranty, if any, stated in the relevant quotation or warranty document.
The following are not considered manufacturing defects:
- Natural variations in colour, tone, veining or texture
- Natural fissures, pores, cavities, inclusions or mineral formations
- Reasonable variations in dimensions or handcrafted finishes
- Variations between the finished product and photographs, renders or samples
- Normal ageing, weathering or patination of natural stone
- Damage caused by improper transportation, storage or handling
- Incorrect installation or fixing
- Use of unsuitable chemicals or cleaning products
- Inadequate sealing or maintenance
- Modification by third parties
- Damage caused by misuse, impact, site conditions or external events
Where a valid manufacturing defect is established, Stone Atelier may, at its discretion and subject to applicable law, repair, replace or provide an appropriate commercial remedy in relation to the affected product.
14. Limitation of Liability
To the maximum extent permitted under applicable law, Stone Atelier shall not be liable for indirect, incidental, consequential or special losses, including loss of profit, loss of business, project delays or third-party contractual penalties.
Stone Atelier shall not be liable for issues arising from the inherent characteristics of natural stone or from installation, handling, storage, maintenance, site conditions or work performed by third parties.
Where liability cannot legally be excluded, Stone Atelier's aggregate liability relating to an order shall, to the maximum extent permitted by law, be limited to the amount actually paid to Stone Atelier for the affected product or service.
Nothing in these Terms excludes any liability that cannot lawfully be excluded or limited.
15. Intellectual Property
All designs, drawings, photographs, renders, product concepts, carving patterns, technical details, catalogues and other creative materials developed by Stone Atelier remain the intellectual property of Stone Atelier and/or their respective rights holders unless expressly agreed otherwise in writing.
They may not be reproduced, commercially manufactured, distributed or used by third parties without prior written permission.
Where designs are supplied by the Buyer, ownership remains with the relevant rights holder, and the Buyer warrants that Stone Atelier is authorised to use those designs for manufacturing the order.
16. Website Content
Images, stone samples, renders, videos, product descriptions, dimensions and other information displayed on our website or social-media channels are intended to communicate the general appearance and character of our products.
Digital screens, photography and lighting can materially affect the appearance of natural stone.
Website content therefore does not constitute a guarantee that a supplied product will be identical in colour, pattern, veining, texture or appearance to an image displayed online.
17. Privacy
Personal information collected through our website, enquiries and transactions shall be handled in accordance with our Privacy Policy and applicable Indian law.
18. Force Majeure
Stone Atelier shall not be liable for failure or delay in performing an obligation caused by circumstances beyond its reasonable control.
Where such circumstances materially affect the cost or feasibility of an order, the parties shall endeavour in good faith to agree reasonable revised commercial terms or timelines.
19. Governing Law & Jurisdiction
These Terms, all quotations and orders issued pursuant to them, and any dispute arising from or relating to the supply of products or services by STONE ART BY SKL LLP shall be governed by the laws of India.
Subject to any mandatory provisions of applicable law, the courts at Jaipur, Rajasthan, India shall have exclusive jurisdiction over disputes arising from or relating to these Terms or any transaction with Stone Atelier.
The parties may attempt to resolve disputes amicably before commencing formal legal proceedings.
20. Consumer Rights
Where the Buyer qualifies as a consumer under applicable Indian law, these Terms shall apply only to the extent permitted by mandatory consumer-protection legislation.
Nothing in these Terms is intended to exclude, restrict or waive any statutory consumer right that cannot legally be excluded.
The bespoke, personalised and made-to-order nature of a product shall nevertheless be relevant when determining whether cancellation, return, replacement or refund is commercially or legally applicable.
21. General
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force to the extent permitted by law.
Failure by Stone Atelier to enforce any provision on one occasion shall not constitute a waiver of its right to enforce that provision subsequently.
Stone Atelier may update these Terms from time to time. The Terms applicable to an order shall ordinarily be those in effect when the relevant order is accepted, unless otherwise agreed in writing.
